The Corporate Department of our firm provides relevant legal services to various companies, enterprises, institutions and government agencies, mainly involving the establishment and operation of foreign-owned enterprises, corporate shareholding reform, IPO, corporate property rights definition, property rights disputes, liquidation and capital verification, corporate mergers, sales, joint ventures, corporate dissolution and liquidation, employee stock ownership, franchising, WTO-related international trade, anti-dumping and other legal affairs.

(1) Legal services for foreign investment

1. Provide legal advice to the client on investment methods, investment policies, investment environment, etc. in the process of establishing foreign-invested enterprises, and assist the client in formulating feasibility reports;
2. Draft, produce, review contracts, articles of association and other legal documents during the process of establishing Sino-foreign joint ventures, cooperative enterprises, and wholly-owned enterprises with foreign investment;
br>3. Assist foreign-invested enterprises in handling establishment approval, industrial and commercial registration and change matters, drafting, producing and reviewing relevant legal documents;
4. At the request of the client, participate in negotiations during the foreign investment process and draft the legal documents required for negotiations;
5. Provide legal consultation and legal assistance to foreign-invested enterprises on legal issues and difficult issues involved in daily operations and management and major economic activities.

(2) Legal business of enterprise property rights definition

1. Property rights definition business
(1) Conduct property rights investigation, including the background and basis for property rights definition, the scope of property rights definition, the legal nature of the property rights subject and relevant supporting documents, and the basic legal facts of the formation of property rights, etc.;
(2) Accept entrustment to determine the investment, creditor's rights and other relationships between the parties. Provide assistance and participate in negotiations on the definition of property rights;
(3) Issue legal opinions on property rights definition;
(4) Draft property rights disposal agreements and other legal documents on your behalf;
(5) Assist the client to handle legal issues related to asset inventory, financial audit, financial disposal and other aspects after the property rights are defined;
(6) Assist the client to declare materials, handle property rights registration and industrial and commercial change registration.

2. Agency for property rights disputes
(1) Accept the entrustment to investigate the property rights of the parties and provide legal advice;
(2) Act as an agent to submit a written application for the definition of property rights to the state-owned assets management department, and participate in the mediation of property rights disputes. If the mediation fails, accept the entrustment to appeal on your behalf;
(3) Apply for reconsideration of the ruling on the definition of property rights on your behalf.

3. Agency for property rights transactions
(1) Accept entrustment to investigate the property rights of the parties to be traded;
(2) Formulate the feasibility and property rights transaction plan;
(3) Draft and review relevant legal documents in the process of property rights transactions;
(4) Act for or assist in handling the procedures for the creation, change, and cancellation of property rights.

4. Formulate plans, issue legal opinions, and draft relevant legal documents on property rights legal issues involved in the process of enterprise joint-stock reform, enterprise mergers, sales, joint ventures, and asset liquidation and capital verification.

(3) Legal business for joint-stock reform

The legal business for corporate joint-stock reform is similar to that of the securities business department. For specific business, please see the business of the securities department.

(4) Employee Stock Ownership Legal Business

1. Provide legal consultation and legal opinions for the enterprise’s employee stock ownership restructuring, and collaborate with the enterprise to formulate restructuring plans and restructuring schedules;
2. Cooperate with the enterprise in restructuring education, and conduct unscheduled and irregular restructuring at any time according to the needs of the restructuring work. Regular restructuring guidance;
3. Review, draft, and produce reporting materials and legal documents;
4. Issue legal opinions on company articles of association, internal employee stock ownership management, separation and service agreements;
5. Assist the business community to submit restructuring plans, state-owned equity management, and company establishment to relevant departments for approval.

(5) Corporate legal business

1. Provide legal advice on the company's preparation, establishment, change, cancellation, liquidation, etc., draft, produce, and review various legal documents;
2. Assist the company to correctly implement national laws and regulations, provide legal opinions and provide legal assistance on major business decisions and important business management of the company;
3. Participate in the company's contract management, participate in the negotiation of major contracts and document drafting;
4. Participate Handle the company's merger, split, bankruptcy, investment, leasing, asset transfer, bidding and restructuring and other important economic activities involving the company's rights and interests, and handle relevant legal affairs;
5. Handle the company's industrial and commercial registration and legal affairs related to intellectual property rights such as trademarks, patents, copyrights, computer software, trade secrets protection;
6. Accept entrustments and give priority to litigation and arbitration matters;
7. Provide the latest legal information, conduct legal training and legal publicity for company personnel;
8. Serve as a perennial legal advisor and provide various legal services for the company's daily business activities.

(6) Franchise legal business

1. Legal planning for franchising;
2. Issue lawyer work memos for the parties to the franchise relationship based on the legal provisions and international practices related to franchising;
3. Analyze the pros and cons of various franchising methods and possible legal liabilities, and help determine the best method;
4. Help straighten out the legal relationship of franchising, formalize, standardize operations, and improve franchising.
5. Responsible for reviewing the relevant information of the parties;
6. Investigate the legal status of intellectual property rights such as copyrights, trademarks, patents, computer software, etc.;
7. Investigate the credit standing, corporate nature, creditor's rights and debts, litigation and bankruptcy history of the franchise parties;
8. Participate in franchise negotiations, draft, produce, review and revise franchise contracts, articles of association and related legal documents, and issue legal opinions or lawyer work memoranda.

(7) WTO-related legal services

1. Provide legal services in anti-dumping to the parties;
2. Provide legal services in intellectual property protection to the parties;
3. Provide legal services in international trade to the parties;
4. Provide legal services in the service industry, including finance, insurance, taxation, etc. to the parties.

(8) Government Legal Advisor

1. At the request of government agencies, conduct legal arguments for government decisions;
2. Provide legal modifications and supplementary suggestions to normative documents drafted or intended to be issued by the government;
3. Act for the government to participate in litigation and participate in relevant disputes involving the government.
4. Assist the government in legal publicity and education;
5. Assist the government with major economic projects and important legal documents;
6. Provide the government with relevant national legal information and provide legal opinions on legal issues in government administration;
7. Handle other legal matters entrusted by the government.
